Due diligence is an aid to negotiation.....not a fault finding

 

Planning for due diligence:  Evaluating & presenting key information, creating data room, creating teams to handle questions, recruiting experts, creating access links, ensuring documentation is protected, agreeing to move to full due diligence

 

Reporting due diligence:  Using templates, capturing key information on site, sharing information between teams, highlighting show stopper issues early, assessing timelines and cost. Staying factual rather than emotional.  Completing a summary and final due diligence report

 

Using due diligence:  Exploring findings with the other party, agreeing major items between the parties, using grids to support negotiation.
